1. Acceptance of Terms
By accessing or using DilutionWatch ("the Service") at dilutionwatch.com, operated by Guerilla Finance LLC ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
DilutionWatch is a financial data monitoring platform that tracks SEC EDGAR filings and provides automated alerts about potential stock dilution events. The Service includes real-time filing monitoring, DilutionScore™ ratings, market intelligence data, and email notifications.
3. Not Financial Advice
DilutionWatch provides SEC filing alerts and data analysis for informational purposes only. Nothing on this platform constitutes financial advice, investment advice, trading advice, or any other sort of advice. You should not treat any of the platform's content as such. We do not recommend that any financial instrument should be bought, sold, or held by you. We do not make any representation or warranty regarding the accuracy, completeness, or timeliness of the data provided. Always conduct your own research and consult a qualified financial advisor before making investment decisions.
4. Account Registration
To use the Service, you must provide a valid email address. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized access. You may not use the Service for any illegal purpose or to violate any laws.
5. Subscription Plans and Payment
DilutionWatch offers free and paid subscription tiers. Paid plans are billed monthly or annually through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.
Free Tier: Monitor up to 3 tickers with daily digest emails at no cost.
Basic Plan ($29/month or $261/year): Monitor up to 15 tickers with real-time alerts and market data.
Premium Plan ($59/month or $531/year): Monitor up to 40 tickers with AI analysis, Excel export, and full market intelligence suite.
Prices are in US dollars and may be updated with 30 days notice. Annual plans reflect a 25% discount compared to monthly billing.
6. Cancellation and Refunds
You may cancel your subscription at any time through the Manage Subscription portal in your account settings. Upon cancellation, you will retain access to your paid features until the end of your current billing period. After that, your account will revert to the Free tier.
We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us within 30 days at admin@dilutionwatch.com.
7. Acceptable Use
You agree not to:
• Use the Service to engage in any illegal activity
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools, bots, or scrapers to access the Service beyond normal API usage
• Redistribute, resell, or publicly republish data obtained from the Service without written permission
• Interfere with the Service's operation or impose unreasonable load on our infrastructure
• Use the Service to send spam, phishing, or other unsolicited communications
8. Data Accuracy
While we strive to provide accurate and timely information sourced from SEC EDGAR, FINRA, and other public data sources, we make no guarantees regarding the accuracy, completeness, or timeliness of any data. SEC filings may be delayed, amended, or withdrawn. Market data is subject to exchange delays and reporting errors. The DilutionScore™ is a proprietary metric based on publicly available data and should not be relied upon as the sole basis for any investment decision.
9. Intellectual Property
The Service, including its design, code, features, DilutionScore™ algorithm, and branding, is the intellectual property of Guerilla Finance LLC. You may not copy, modify, distribute, or create derivative works without our written permission. SEC filing data itself is public domain, but our analysis, presentation, and scoring of that data is proprietary.
10. Limitation of Liability
To the maximum extent permitted by law, DilutionWatch and Guerilla Finance LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or investment losses, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim. See our full Release of Liability for additional details.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service interruptions or delays in alert delivery.
12. Termination
We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability) will remain in effect.
13. Governing Law
These Terms shall be governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Union County, Georgia.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use after changes constitutes acceptance. If you do not agree with modified terms, you must stop using the Service and cancel your subscription.
